Our Take: BorgWarner to Purchase Delphi – What It Means for the Automotive Industry

DuckerFrontier, January 29, 2020

Yesterday BorgWarner Inc. announced its agreement to purchase UK-based Delphi Technologies Plc in a transaction that values Delphi at roughly $3.3 billion and would therefore combine two major automotive-parts manufacturers. The recent announcement positions BorgWarner to expand in the rapidly growing market for hybrid and electric vehicles.

DuckerFrontier’s automotive experts Abey Abraham and Bertrand Rakoto are weighing in with initial thoughts and considerations in light of this recent announcement, and the impact it will have on the advancement of mobility and electrification in the automotive industry.

  • BorgWarner’s acquisition of Delphi Technologies is a strategic move that is well suited to the environment; Mobility and Electrification are advancing globally – OEMs are increasingly relying on core Tier 1 technology providers for more comprehensive and end-to-end solutions.
  • Delphi Technologies fills in some missing pieces within BorgWarner’s product, technology, and customer puzzle. The acquisition bolsters both IP and capabilities in converters, inverters, and on-board-chargers, as well as further fills in some gaps in efficient internal combustion engine (ICE) technologies that offer the new-company and full end-to-end solution for all forms of electrified powertrains.
  • CO2 requirements are front and center to OEM strategies. Therefore, navigating the US, EU, and China regulations is fundamental to a global supplier. Powertrain improvements through further efficiency gains from ICE and electrification solutions are core to OEMs’ environmental and affordability challenges.
  • VW, Daimler, GM, and several other OEMs have announced major structural changes designed to address their own strategies. Automotive suppliers must remain fluid to serve different needs globally and to support OEMs with fully integrated emission reduction technologies.

The automotive industry is changing at a rapid pace. Powertrain electrification is a massive technology shift that the automotive industry will have to grasp sooner rather than later. Government mandates to improve fuel efficiency and cut emissions are forcing automakers to evaluate and make investments in smaller, lighter and more efficient technologies.
